SAM Magazine—Broomfield, Colo., Oct. 13, 2026—Another shareholder has filed a derivative complaint that names Vail Resorts CEO and chairman Rob Katz and eight of the company’s directors as defendants. It is the second lawsuit filed by a shareholder on behalf of Vail Resorts against the company’s CEO and its board members since August.
Both complaints allege, among other claims, that Katz and the company’s board members failed to prevent behavior that led to a pair of antitrust claims being filed by consumers earlier in the year, the first in March and the second in the beginning of August.
Shareholder Thomas Stewart filed the complaint in Colorado federal court Oct. 5. The first derivative lawsuit was filed by shareholder Gary Peterson in the same Colorado court Aug. 27.
In addition to seeking damages on behalf of Vail Resorts shareholders, Stewart is also seeking changes to the company’s governance and the return of board member compensation.
